TERMS OF BUSINESS
Jazmins Recruitment Agency Ltd This document governs the supply of temporary, temp‑to‑perm, and permanent staff.
1. Definitions
“Agency” – Jazmins Recruitment Agency Ltd “Client” – The company or individual engaging the Agency for recruitment services “Candidate” – Any worker introduced or supplied by the Agency “Introduction” – CV submission, profile sharing, interview arrangement, or any form of Candidate presentation “Assignment” – A temporary, temp‑to‑perm, or permanent placement “Engagement” – Employment, hire, or use of a Candidate by the Client or any third party connected to the Client
2. Agreement
By requesting or accepting Candidates from the Agency, the Client agrees to be bound by these Terms of Business. These Terms apply to all Introductions and Assignments unless otherwise agreed in writing.
3. Scope of Services
The Agency supplies:
HGV Class 1 & Class 2 drivers
Van drivers
Drivers’ mates
Warehouse & logistics operatives
Secretarial & administrative staff
Services include temporary staffing, temp‑to‑perm arrangements, and permanent recruitment.
4. Client Responsibilities
The Client agrees to:
Provide accurate job descriptions, working conditions, and requirements
Ensure a safe working environment for all Candidates
Comply with all UK employment, transport, and health & safety laws
Supervise, direct, and control the work of all temporary Candidates
Notify the Agency immediately of any performance, conduct, or safety concerns
Not request Candidates to perform duties for which they are not qualified
The Client is responsible for ensuring that all vehicles, equipment, and working environments meet legal safety standards.
5. Agency Responsibilities
The Agency will:
Source, screen, and verify Candidates
Conduct right‑to‑work checks, licence checks, and DBS checks where required
Ensure Candidates are suitable for the roles they are supplied for
Manage payroll for temporary workers (unless otherwise agreed)
Maintain compliance with UK GDPR and data protection laws
The Agency does not guarantee a Candidate’s performance, attendance, or continued availability.
6. Fees & Charges
6.1 Temporary Assignments
The Client will be charged:
Hourly or daily rates for each Candidate
Overtime, night rates, weekend rates, and bank holiday premiums
Travel or accommodation costs (if agreed)
6.2 Temp‑to‑Perm Conversions
If the Client hires a temporary Candidate permanently:
A conversion fee applies unless the qualifying period has been completed
The fee is based on the Candidate’s annual salary
6.3 Permanent Placements
Permanent placement fees are charged as a percentage of the Candidate’s agreed annual salary.
6.4 Payment Terms
Invoices are issued weekly or monthly
Payment is due within 7–14 days
Late payments may incur statutory interest under the Late Payment of Commercial Debts Act
7. Timesheets & Verification
For temporary workers:
Timesheets must be approved by an authorised Client representative
Approval confirms hours worked and acceptance of charges
Disputes must be raised within 48 hours
Failure to sign a timesheet does not invalidate the Agency’s right to charge for hours worked.
8. Introductions & Restrictions
If the Client engages a Candidate within 12 months of:
Introduction, or
Completion of an Assignment
A full permanent placement fee will apply.
This applies whether the Candidate is hired directly or through a third party.
9. Candidate Conduct & Performance
If the Client is dissatisfied with a Candidate:
The Agency must be notified immediately
The Agency will attempt to replace the Candidate where possible
The Agency is not liable for losses arising from Candidate performance, negligence, or misconduct unless caused by Agency failure to meet legal obligations.
10. Compliance & Legal Requirements
Both parties must comply with:
Employment Agencies Act 1973
Conduct of Employment Agencies & Employment Businesses Regulations 2003
Road Transport (Working Time) Regulations
Health & Safety at Work Act
UK GDPR & Data Protection Act 2018
11. Liability
The Agency is not liable for:
Loss, damage, or injury caused by a Candidate
Financial loss, loss of profit, or business interruption
Any act or omission by a Candidate during an Assignment
The Client is responsible for supervising Candidates and ensuring safe working conditions.
12. Confidentiality
Both parties agree to maintain confidentiality regarding:
Candidate information
Client business information
Commercial terms and rates
Candidate CVs must not be shared with third parties without written consent.
13. Data Protection
All personal data is processed in accordance with:
UK GDPR
Data Protection Act 2018
The Agency’s Privacy Policy
The Client must also handle Candidate data lawfully and securely.
14. Termination of Assignment
Assignments may be terminated if:
The Candidate is unsuitable
There is a breach of safety or compliance
The Client fails to pay invoices
The working environment is deemed unsafe
The Client remains liable for all hours worked up to termination.
15. Force Majeure
Neither party is liable for delays or failures caused by events outside reasonable control, including:
Natural disasters
Strikes
Power failures
Government restrictions
16. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes will be resolved exclusively in the courts of England and Wales.
